Robert W. Strauss
Bob Strauss represents clients extensively in the areas of real estate, housing and finance issues, as well as private placements of equity securities. Within the scope of his thirty year practice, Mr. Strauss has extensive experience with commercial real estate transactions including acquisitions, dispositions, development, ground leases, lease financing and debt financing, involving conventional, tax-exempt bond and HUD insured loans. He has represented, on a national basis, one of the largest owners and managers of seniors housing and, in that capacity, performed or coordinated legal representation including site acquisition, land use and other regulatory approvals, construction contracts and loan negotiations and closings. He has represented clients in the development of hospitals and medical office buildings and has substantial experience with the financing, operation and management of the Federal housing programs, including affordable housing, the Section 8 program, program compliance and controversy. He has also represented several special purpose Catholic faith-based 501(c)(3) organizations affiliated with the Catholic Diocese of Dallas in the acquisition, development, operation and sale of real estate properties. In addition, he represents oil and gas exploration companies and real estate developers in the private placement of equity securities pursuant to Regulation D.
REPRESENTATIVE EXPERIENCERepresented the country’s largest building material manufacturers in a multi-million dollar lease, with purchase rights, of approximately 70 acres, including all improvements. This multifaceted, novel transaction was a unique partnership involving the client and the Texas General Land Office (GLO), resulting in the first-time use for a private sector facility of authority recently granted to the GLO to assist with economic development in the State of Texas. The transaction also involved significant real estate tax savings and local economic incentives.
Assisted one of the world’s leading suppliers of retail brand soft drinks with locating a major beverage manufacturing facility in Texas. Mr. Strauss represented the company in the leasehold acquisition of more than 500,000 square feet. The transaction also involved tax abatements from local governmental authorities. Mr. Strauss’ experience in handling complex lease agreements, as well as tax and other governmental incentives, was instrumental in ensuring timely completion of the acquisition.
